Questions
- What is the difference between a Private Limited Company and an LLP?
- A Private Limited Company is governed by the Companies Act, 2013 and has shareholders and directors. An LLP is governed by the Limited Liability Partnership Act, 2008 and has partners. They differ in ownership structure, compliance requirements and how capital can be raised, and the suitable form depends on the business.
- How many directors does a Private Limited Company need?
- A Private Limited Company needs at least two directors, and at least one director must be resident in India. A One Person Company has a single member and director, who nominates another person. The requirements are set by the Companies Act, 2013.
- Are there filings after incorporation?
- Yes. Companies and LLPs make annual filings with the Registrar of Companies and have income tax and, where applicable, GST obligations. See the ROC Compliance service for details.
